Gaz Métro Plus en partenariat avec Dalkia Canada pour le développement du chauffage urbain Montreal, February 14,
2006 – Gaz Métro Limited Partnership (TSX: GZM.UN) announces that its
wholly owned subsidiary Gaz Métro Plus, the parent corporation of Climatisation
et Chauffage Urbains de Montréal (CCUM) has just entered into an agreement with
Dalkia Canada, a member of an internationally-renowned group in the energy
production and district heating field.
The transaction is structured as a
50:50 joint venture between Gaz Métro Plus and Dalkia. The joint venture to be
named CDH Solutions & Operations (CDH) will oversee CCUM’s expansion and
promote the acquisition or development of district heating and cooling plants in
major cities in Canada.
As a result of this transaction,
whereby CCUM becomes CDH’s wholly owned subsidiary, Gaz Métro will realize a net
profit of approximately $6 million and CDH will have available cash for its
future development. Given the strength of both partners, additional resources
will be available to CDH as required to continue service improvement. Gaz Métro
Plus and Dalkia’s complementary and diversified expertise will allow CDH to
better respond to its clients’ heating and cooling needs.

major cities”, said Robert Tessier, President and Chief Executive Officer of Gaz
Métro. Mr. Tessier also noted that “the new joint venture is perfectly in line
with the new mission adopted by Gaz Métro last fall, namely to broaden its
operations in the energy industry.”
